Notice of Special WBWC Membership Meeting

to be held August 10, 2022, at 7:00 p.m.

to Amend and Restate Articles of Incorporation


The Washtenaw Bicycling and Walking Coalition (WBWC) will hold a special

membership meeting via Zoom on Wednesday, August 10, 2022, from 7:00 p.m. until

about 8:00 p.m. to approve amendment and restatement of WBWC’s Articles of

Incorporation. For a membership-based nonprofit like WBWC, state law requires that

certain substantive Articles amendments be approved by the membership. The WBWC

board is proposing two amendments regarding the organization’s name and purpose, as

described below.


Amendment 1: Organization name

This amendment would change the organization’s name from “Washtenaw Bicycling and

Walking Coalition, Inc.” to “Walk Bike Washtenaw”.

Reason for amendment 1

Many people find the current name unnecessarily difficult to say, and it can be

cumbersome to state in meetings and elsewhere. The new name will be easy to say, cover

the same concepts as the old one, and when reduced to an acronym, retain the same first

three letters.


Amendment 2: Organization purpose

The current purpose statement in the Articles is:

“To increase the quality and quantity of bicycling and walking facilities in Washtenaw

County through advocacy and education.”

The proposed new purpose statement is:

“To make Washtenaw County a national leader in bicycling and walking by improving

facilities, policies, and community support through advocacy and education.”

Reason for amendment 2

The organization has already been operating with the new purpose statement. The board

believes that this new wording states the purpose more accurately and compellingly.


Adoption of Restated Articles of Incorporation

These amendments, if passed, will cause the Articles to look like ***THIS*** (dates and

signer still to be added), which integrates these and previous amendments that were

adopted in 2009 and 2010 to, among other things, make the organization eligible for

federal 501(c)(3) nonprofit status. Members will be asked to adopt these restated

Articles. After member adoption, the restated Articles will be submitted to the state.


The Zoom link for the meeting will be sent to members a few days before the meeting.
